Capgemini Bolsters AI Leadership with WNS Acquisition and Expanded AWS Generative AI Partnership

Capgemini, a global leader in business and technology transformation, is making significant strides in the artificial intelligence domain through a strategic acquisition and an expanded partnership, positioning itself at the forefront of AI-driven solutions. These moves underscore the company’s commitment to leveraging advanced AI, including generative and agentic AI, to redefine enterprise operations.

WNS Acquisition to Drive Agentic AI-Powered Operations

In a landmark transaction announced in July 2025, Capgemini entered into a definitive agreement to acquire WNS Global Services, an India-headquartered digital-led business process services (BPS) and transformation company, for a cash consideration of $3.3 billion. The acquisition price of $76.50 per WNS share represents a premium of 28% over the 90-day average trading price and 17% over the July 3, 2025, closing price. Both companies’ boards have unanimously approved the transaction, which is anticipated to close by the end of 2025, pending shareholder and regulatory approvals.

This strategic move is designed to establish Capgemini as a dominant force in Agentic AI-powered Intelligent Operations. Aiman Ezzat, CEO of Capgemini, emphasized the market shift, stating, “Enterprises are rapidly adopting generative AI and Agentic AI to transform their operations end-to-end. Business Process Services will be the showcase for Agentic AI. Capgemini’s acquisition of WNS will give us the scale, talent, and vertical expertise to lead this paradigm shift and deliver intelligent operations at speed and scale.” WNS CEO Keshav R. Murugesh added that the combination of WNS’s deep domain expertise with Capgemini’s global reach and cutting-edge AI capabilities will create a powerful proposition for enterprise reinvention.

The acquisition is expected to yield substantial financial benefits, with Capgemini forecasting an increase in normalized earnings per share by 4% in 2026 and 7% by 2027, driven by anticipated synergies. The combined entity is projected to generate approximately $25.5 billion in annual revenue, integrating technology, AI capabilities, and process expertise across various sectors. Capgemini has secured $4.3 billion in bridge financing for the acquisition, with plans to refinance through a mix of cash and debt issuance.

Expanded AWS Collaboration to Accelerate Generative AI Adoption

Further solidifying its AI strategy, Capgemini announced in January 2024 an expanded multi-year strategic collaboration agreement with Amazon Web Services (AWS). This partnership aims to accelerate the widespread adoption of generative AI solutions and technologies across organizations of all sizes.

A key component of this collaboration is Capgemini’s commitment to significantly invest in its workforce. The company plans to train 30,000 employees over the next three years in AWS’s advanced technologies, as part of its broader €2 billion investment in Artificial Intelligence. This initiative will expand Capgemini’s existing network of AWS Centers of Excellence (CoEs), enabling clients to transition their generative AI investments from individual pilots and proofs of concept to large-scale production.

The collaboration focuses on developing innovative, industry-specific and functional use cases leveraging Amazon Bedrock, AWS’s service for building and scaling generative AI applications. This includes access to secure, high-performing foundational models like Amazon Titan. Capgemini and AWS are also developing a unique methodology and accelerators, utilizing techniques such as LLM cascading and prompt tuning, to deliver efficient and cost-effective generative AI solutions.
