The acquisition aims to integrate Cognigy’s conversational and agentic AI capabilities with NICE’s CXone Mpower platform, enhancing AI-powered customer service delivery.
HOBOKEN, N.J. – NICE (NASDAQ: NICE), a global leader in AI-powered customer experience, today announced a definitive agreement to acquire Cognigy, a prominent global market leader in conversational and agentic AI. This strategic acquisition, valued at approximately $955 million, is set to significantly advance NICE’s leadership in the AI-first customer experience landscape.
The transaction, unanimously approved by NICE’s Board of Directors, includes an approximate $50 million time-bound holdback, comprising $25 million in cash and 158,000 American Depositary Shares. The acquisition will be financed with existing funds and is anticipated to close in the fourth quarter of 2025, pending customary regulatory approvals.
This acquisition is poised to unite NICE’s market-leading CXone Mpower platform with Cognigy’s advanced conversational and agentic AI capabilities. This integration is expected to enable organizations to rapidly accelerate the adoption of AI-first customer service delivery, seamlessly orchestrating AI agents across both front and back-office operations within a unified CX AI platform powered by purpose-built CX AI models. Cognigy’s enterprise AI technology currently serves major clients such as Mercedes-Benz and Nestlé, and its AI agents are designed to automate routine customer interactions, allowing human service representatives to focus on more complex, high-value cases.
Scott Russell, the new CEO of NICE, emphasized the significance of this acquisition, stating, “This is a landmark moment for Nice, a strategic move that fast-tracks our AI innovation agenda and sets a new standard for customer experience in the AI era.” He further added, “By bringing a market leader in enterprise-grade conversational and agentic AI into the fold, we are accelerating global AI adoption.”
The acquisition echoes NICE’s pivotal purchase of inContact nearly a decade ago, which facilitated the company’s transition into cloud-based services and was instrumental in establishing NICE as a market leader in CX platforms. This latest move is designed to deepen NICE’s presence in the artificial intelligence space, particularly focusing on agentic AI – AI-powered virtual agents capable of performing tasks traditionally handled by humans.
