Capgemini Finalizes $3.3 Billion Acquisition of WNS, Forging a Global Leader in AI-Powered Intelligent Operations

Paris, France – October 17, 2025 – Capgemini (Euronext Paris: CAP) today announced the successful completion of its acquisition of WNS (NYSE: WNS), a prominent digital-led business transformation and services company. This landmark transaction, valued at approximately $3.3 billion, marks a pivotal moment for both entities, creating a new global leader in Agentic AI-powered Intelligent Operations.

The acquisition, which saw Capgemini pay $76.50 per WNS share in cash, is designed to significantly expand Capgemini’s offerings in AI tools and transform business processes across various industries. The strategic rationale behind this merger is to capture and leverage clients’ increasing investments in Agentic AI to reinvent their end-to-end business processes.

The definitive transaction agreement was initially announced on July 7, 2025. To finance this substantial acquisition, Capgemini successfully priced €4.0 billion in bonds in September 2025, which also served to refinance existing financial debt and for general corporate purposes. This bond issuance led to the cancellation of a previously arranged bridge loan. WNS will be fully consolidated into Capgemini’s financial statements starting today, October 17, 2025.

WNS, as of June 30, 2025, employed 66,085 professionals across 65 delivery centers worldwide, offering a wide range of solutions including industry-specific offerings, customer experience services, finance and accounting, human resources, procurement, and research and analytics. Capgemini, a global leader in consulting, technology services, and digital transformation, operates in over 50 countries with 350,000 employees and reported global revenues of €22.1 billion in 2024.

This acquisition is expected to generate significant synergies, with projected revenue synergies between €100–140 million and an annual pretax run rate for cost and operating model synergies of between €50–70 million by the end of 2027.
