Varonis Strengthens Cybersecurity Portfolio with $150 Million Acquisition of AI-Native Email Security Innovator SlashNext

Varonis Systems, Inc. (Nasdaq: VRNS), a prominent data security company based in Miami, Florida, announced on September 2, 2025, its acquisition of SlashNext, a pioneering AI-native email security provider headquartered in Pleasanton, California. The deal, valued at $150 million in a combination of cash and stock, significantly bolsters Varonis’s offerings in the rapidly evolving cybersecurity landscape.

SlashNext, founded by Atif Mushtaq, a key architect behind FireEye’s core malware sandbox technology, is renowned for its advanced predictive AI models. These models utilize sophisticated techniques such as computer vision, natural language processing, and virtual browsers to detect and neutralize advanced phishing, social engineering, Business Email Compromise (BEC), and QR code attacks. The company boasts an impressive 99% detection accuracy rate, protecting users across multiple communication channels including email, WhatsApp, Slack, and Teams.

Yaki Faitelson, CEO of Varonis, emphasized the strategic importance of this acquisition, stating, “With the acquisition of SlashNext, we are extending our data-centric threat detection capabilities with the market’s best phishing and social engineering detection solution. We can now stop one of the most prevalent forms of attack and extend our end-to-end approach to protecting data.” This integration allows Varonis to provide Chief Information Security Officers (CISOs) with a more comprehensive and consolidated threat detection and response platform, stopping threats earlier in the attack chain.

The acquisition comes at a time when AI-powered cyber threats are escalating, and the email security market is projected to grow substantially from $5.2 billion in 2025 to $10.7 billion by 2032. Varonis’s move aligns with a 13% year-over-year surge in AI-driven cybersecurity merger and acquisition activity since 2023, highlighting a broader industry trend towards leveraging AI for enhanced security.

In conjunction with the acquisition, Varonis updated its financial guidance for the third quarter and full year 2025. For Q3 2025, the company now anticipates revenues between $163.0 million and $168.0 million, representing a year-over-year growth of 10% to 13%. Non-GAAP operating income is projected to be between $1.0 million and $4.0 million, with non-GAAP net income per diluted share in the range of $0.04 to $0.06. For the full year 2025, Varonis expects Annual Recurring Revenue (ARR) of $748.0 million to $754.0 million, indicating a 17% year-over-year growth. Revenues are forecast to be between $616.0 million and $628.0 million, a 12% to 14% year-over-year increase, with free cash flow projected at $120.0 million to $125.0 million. The company also reported strong SaaS revenue growth in Q2 2025, with a 137% year-over-year surge, and 69% of its total ARR now being SaaS-based.
