The significant hike underscores the company’s extraordinary success, particularly in the artificial intelligence (AI) era, and reflects the tight alignment between Nadella’s earnings and Microsoft’s soaring stock performance. A substantial portion of his compensation, over $84 million, was in the form of stock awards, with nearly 90% of his total pay consistently derived from long-term equity. His base salary stood at $2.5 million, complemented by over $9.5 million in cash incentives, including $5.2 million in bonuses. This performance-linked pay model directly ties his fortune to Microsoft’s market achievements.

Microsoft’s board compensation committee explicitly stated that the results “demonstrate that Satya Nadella and his leadership team have positioned Microsoft as a clear artificial intelligence leader for this generational technology shift.” The board emphasized Nadella’s crucial strategic direction in shaping the company’s competitive edge in AI.

Under Nadella’s decade-long leadership, Microsoft has undergone a profound transformation, evolving from a software giant into a modern AI powerhouse. Despite this impressive figure, Nadella is not the highest-paid CEO in the U.S. That title currently belongs to Jim Anderson, CEO of Coherent, who earned approximately $101.5 million in 2024, with over 90% of his compensation also in long-term equity awards. As of October 22, 2025, Satya Nadella’s net worth is estimated at $1.1 billion, according to Forbes data. Other senior Microsoft executives also saw significant compensation, with Chief Financial Officer Amy Hood earning $29.5 million and Judson Althoff, head of commercial operations, receiving $28.2 million.
