Navigating the Legal Landscape of AI Agents: Loyalty and Disclosure in the Age of Autonomous AI

The New Frontier of AI Agents

Traditionally, large language models (LLMs) have been passive, producing outputs that require human interpretation and action. However, as AI systems gain the ability to directly interact with the world – for instance, making purchases, booking travel, or managing finances – the potential for both benefit and harm expands significantly. The paper highlights several critical problems that emerge with this increased agency:

  • The Errant Tool Problem: This occurs when an AI agent exceeds a user’s explicit wishes. This violates the legal duty of loyalty, which requires an agent to act solely for the principal’s benefit.
  • The Disclosure Problem: Current AI agent models often focus only on the relationship between the agent and the user. However, legal agency involves a third party (e.g., a seller). The paper argues that AI agents need to disclose their identity as an AI and the identity of the principal they represent to third parties. Without this transparency, third parties cannot properly assess risks or assign liability, undermining trust in transactions.

Both disciplines grapple with the challenge of “under-specification” – how an agent should act when not every possible scenario or constraint can be explicitly programmed or instructed. However, the authors contend that the current understanding of value alignment is insufficient for AI agents. They propose that the legal concepts of loyalty and disclosure must be integrated into AI’s value alignment frameworks. Loyalty would ensure the AI agent always acts to maximize the user’s benefit, preventing conflicts of interest with the deploying platform. Disclosure would foster transparency with third parties, allowing for proper assessment of transactions and clear assignment of liability.
